Senior Counsel - Transactions

Carbon is seeking a highly-motivated, proactive attorney to join our team to handle a wide variety of transactions across the company’s business as we grow and scale domestically and internationally.  The right person for this position must be a team player who is comfortable operating in a fast-paced, high-growth environment and is able to balance legal risk with business objectives. This individual will have a broad range of responsibilities, including drafting and negotiating complex customer and supply chain deals, serving as a trusted leader to internal stakeholders, and always looking for opportunities to develop and implement scalable contracting processes to remove friction from the deal cycle while protecting the company.

What you’ll do:

  • Independently review, analyze, draft and negotiate contracts including 1) Complex customer and partner agreements (e.g., reseller, distribution,  development technology integration agreements) and 2) Complex procurement agreements that have unique legal challenges (e.g., agreements regarding  manufacturers, component suppliers, SaaS providers, professional services, software licensing, and other IT outsourcing agreements)
  • Manage the contract life cycle process from drafting through post-execution
  • Provide legal advice, issue spot and identify risks and proposed solutions during the negotiation process
  • Work cross-functionally with sales, finance, tax, marketing, HR, international operations, and other internal stakeholders to ensure contract and process compliance with relevant laws and company policies and risk profile
  • Develop and revise template agreements, playbooks, processes and self-help resources to enable Carbon’s business and ensure compliance with laws
  • Work with other team members to improve the efficiency of the contract life cycle and intradepartmental workflows
  • Build strong relationships with company personnel at supported business units
  • Develop and maintain a strong knowledge of the company’s technology and products
  • Pitch in and help with projects outside of the above on an as-needed basis, providing growth opportunity outside of immediate area of expertise
  • We’re looking for someone with, Education:

  • A JD degree
  • Admission to the State Bar of California or able to register as in-house counsel
  • We're looking for someone with,Experience:

  • 6-10 years of relevant experience, including substantive experience in drafting and negotiating complex technology, intellectual property, and commercial agreements
  • Experience simultaneously driving multiple negotiations, and identifying, prioritizing and resolving key business issues
  • Proven and excellent analytic, communication and contract drafting skills
  • Experience with international contracts, data privacy and security issues a plus
  • Experience working with contract management systems such as IronClad is helpful
  • Other:
